01Grant of licence
ERPDz grants the licensee a perpetual, non-exclusive right to install and use the licensed software within the licensee’s business, on the number of installations set out in the licence schedule. The right does not expire and is not conditional on any further payment.
02Ownership
The software and its source code remain the intellectual property of ERPDz. The licence grants use, not ownership of the code, except where a bespoke agreement expressly provides otherwise.
03The licensee’s data
All data entered into or produced by the software belongs to the licensee. It is stored on the licensee’s own equipment and may be exported in open formats at any time, without reference to ERPDz.
04Installations and transfer
Additional installations may be added to the licence at the incremental rate. The licence may be transferred to a successor of the licensee’s business with written notice; it is not transferable to an unrelated party without agreement.
05Support and updates
Support is provided for the window stated in the schedule and may be renewed. Updates within the licensed version are supplied during that window. A new major version is a separate purchase. Expiry of support does not affect the right to continue using the software.
06No remote disablement
The software contains no time limit, activation check or remote mechanism capable of disabling it. Once installed, it will continue to operate independently of ERPDz.
07Warranty
ERPDz warrants that the software will perform substantially in accordance with its written specification for the period stated in the agreement, and will correct defects reported within that period.
08Limitation of liability
ERPDz’s liability under the agreement is limited to the licence fee paid. ERPDz is not liable for indirect or consequential loss. The licensee is responsible for maintaining backups of its own data.
09Governing law
The agreement is governed by Algerian law, and the competent Algerian courts have jurisdiction over any dispute arising from it.
